About these Terms
These Terms of Service (the “Terms”) are an agreement between you and Advanced Information Solutions Limited (“WotShop”, “we”, “us” or “our”), the operator of WotShop. They govern your access to and use of our website, merchant dashboard, storefronts, invoicing tools and related services (the “Service”).
By creating an account, joining a merchant team, placing an order through a WotShop storefront, or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
Section 2
Eligibility and authority
You must be at least 18 years old to open or operate a merchant account. If you use WotShop for a business, you confirm that you are authorised to accept these Terms for that business and that the information you provide is accurate and current.
A merchant owner may add staff members. The owner is responsible for choosing appropriate access, removing access when it is no longer needed, and activities carried out through the merchant’s team accounts.
Section 3
WotShop’s role
WotShop supplies commerce software. Each storefront is operated by the merchant named on it. The merchant, not WotShop, is the seller or service provider and is responsible for its products, prices, stock, descriptions, taxes, invoices, delivery, returns, refunds, warranties and customer support.
WotShop is not a party to a sale between a merchant and customer, does not take possession of goods, and is not a delivery company. The Service currently helps merchants record manual payment methods such as bank transfer, cash and payment on delivery; WotShop does not receive or hold those customer funds or verify a bank transfer merely because a payment is marked as paid.
Section 4
Accounts and security
You must provide correct account information, keep login details confidential, and promptly notify us if you suspect unauthorised access. You are responsible for activity through your account unless caused by our failure to use reasonable security measures.
Do not share an individual login where separate staff access is available. We may require identity, authority or business verification where reasonably necessary to protect the Service or comply with law.
Section 5
Merchant responsibilities
- Publish truthful product, service, availability, price, delivery and refund information.
- Supply ordered goods or services safely, lawfully, on time, and in accordance with customer rights.
- Obtain and maintain licences, registrations, tax records and approvals required for the business.
- Use customer information only for lawful order fulfilment, support and properly authorised marketing.
- Keep bank, contact, invoice and delivery information accurate and protect uploaded payment evidence.
- Resolve complaints, charge disputes, returns, refunds, product defects and delivery issues directly.
- Comply with the FCCPA, the Nigeria Data Protection Act 2023 and other laws applicable to the business.
Section 6
Customer orders and merchant terms
An order submitted through a storefront is sent to the relevant merchant. The merchant may need to confirm availability, delivery arrangements or payment before accepting or fulfilling it. Store-specific payment, rental, return or delivery terms shown by a merchant form part of the customer’s arrangement with that merchant, not with WotShop.
Customers should check the merchant’s identity, order details and payment instructions before paying. A customer with a product, fulfilment or refund complaint should first contact the merchant using the details on the storefront or invoice. We may help route a platform-related complaint but do not decide the merits of a merchant-customer dispute.
Section 7
Acceptable use
You must not use WotShop to:
- sell illegal, stolen, counterfeit, unsafe or unlawfully regulated goods or services;
- mislead customers, impersonate others, manipulate records, or facilitate fraud or money laundering;
- harass people or send unsolicited messages in breach of privacy or communications laws;
- upload malware or content that infringes privacy, intellectual property or other rights;
- probe, bypass or disrupt security, access another merchant’s data, or reverse engineer the Service; or
- use automated access that places an unreasonable load on the Service without our written permission.
We may remove content, restrict functionality or suspend access where reasonably necessary to investigate suspected misuse, protect users, respond to a lawful request, or prevent harm.
Section 8
Plans, fees and changes
Available plans, prices, limits and included features are shown before a merchant requests or purchases a plan. Some plan changes may require our approval. Unless a payment screen expressly states otherwise, WotShop does not automatically debit a merchant or renew a paid plan using stored card details.
We may change future pricing or plan features by giving reasonable notice. A price change will not be applied retroactively. Taxes, data charges and third-party fees are the user’s responsibility where applicable. Any refund right stated at purchase or required by law remains unaffected.
Section 9
Content and intellectual property
You retain ownership of business names, logos, product material and other content you provide. You grant us a limited, non-exclusive licence to host, copy, display and process that content only as needed to operate, secure and improve the Service and fulfil your instructions.
WotShop, its software, branding and original materials belong to us or our licensors. Except for the rights needed to use the Service, no intellectual property right is transferred to you. Feedback may be used to improve WotShop without identifying you or creating a payment obligation.
Section 10
Third-party services
The Service relies on cloud infrastructure and may open services such as WhatsApp at your direction. Third-party services have their own terms and privacy practices. We do not control WhatsApp messages sent after you leave WotShop and are not responsible for an external service’s independent acts or availability.
Section 11
Availability and changes to the Service
We aim to keep WotShop reliable, but internet services may experience maintenance, errors or interruptions. We may update, add or remove features to improve security, comply with law or develop the product. Where a material change adversely affects a paid plan, we will provide reasonable notice where practicable.
Merchants should keep appropriate copies of legally important invoices, tax records and business data. The Service is not professional legal, tax, accounting or financial advice.
Section 12
Suspension and termination
You may stop using the Service at any time and may request account or business closure by contacting us. We may suspend or terminate access for a material breach, non-payment, fraud risk, unlawful conduct, a security threat, or where required by law. Where appropriate, we will provide notice and a chance to remedy the issue.
On termination, your right to use the Service ends. Provisions that should reasonably survive—including payment obligations, intellectual property, disclaimers, liability and dispute provisions—will continue. Data is handled in accordance with the Privacy Policy and applicable law.
Section 13
Disclaimers and liability
To the extent permitted by law, the Service is provided on an “as available” basis. We do not guarantee that every feature will always be uninterrupted or error-free, or that a merchant or customer will complete a transaction. Nothing in these Terms excludes a warranty, remedy or consumer right that cannot lawfully be excluded.
WotShop is not liable for merchant goods or services, customer non-payment, inaccurate merchant content, delivery failures, off-platform communications, or indirect or consequential losses that were not reasonably foreseeable. To the extent permitted by law, our aggregate liability arising from a merchant’s use of the Service will not exceed the fees that merchant paid us for the Service during the 12 months before the event giving rise to the claim. This limit does not apply to fraud, wilful misconduct, death or personal injury caused by negligence, or another liability that law does not permit us to limit.
Section 14
Business indemnity
If you operate a merchant business, you will be responsible for third-party claims and reasonable costs caused by your products, services, content, misuse of customer data, breach of law, or material breach of these Terms, except to the extent the claim was caused by WotShop. We will notify you of such a claim and allow reasonable participation in its defence.
Section 15
Complaints, governing law and disputes
For a WotShop account, privacy or platform complaint, email benedictolomu@gmail.com with enough information for us to investigate. We will acknowledge and work to resolve complaints fairly. Product, delivery and refund complaints should first be sent to the relevant merchant.
These Terms are governed by the laws of the Federal Republic of Nigeria. Before starting court proceedings, the parties will try in good faith for 30 days to resolve a dispute through written discussions. If it is not resolved, the courts with jurisdiction in the Federal Capital Territory, Abuja may hear the dispute. This does not prevent either party from seeking urgent protective relief or exercising non-waivable consumer rights.
Section 16
Changes and contact
We may update these Terms as the Service or law changes. We will post the revised version here and update the date above. For a material change, we will provide reasonable additional notice through the Service or the contact details associated with an account. Continued use after the effective date means you accept the revised Terms.
